Why consider Singapore?

A role in your
wider plans.

Singapore is worth discussing when the entity will have a real role in the business: coordinating regional activity, employing a team or making strategic decisions locally. The company structure and its governance should support that role from the outset.

Benefits.
And the trade-offs.

Potential benefits

Defined governance responsibilities

The company has named directors and a company secretary. This creates a clear starting point for allocating authority, maintaining records and preparing recurring filings. [1]

An established incorporation process

The Bizfile process gives founders a defined route to register a local company. Preparing the ownership, officers, constitution and business details in advance makes that process easier to coordinate. [2]

Tax residence linked to real management

Singapore evaluates corporate tax residence by where control and management take place. A genuinely managed local business can assess the treaty and foreign-income reliefs available under the applicable conditions. [3]

Points to consider

A resident director is required

At least one director must meet local residency rules. A company secretary must be appointed within six months. These are continuing responsibilities, not simply registration formalities. [1]

Registration alone does not establish tax residence

IRAS considers where strategic decisions are actually made. A registered address, or a meeting held locally in isolation, does not settle the analysis. [3]

Foreign income and local operations need review

Income connected to Singapore and foreign income received there can require a tax assessment. Reliefs depend on their conditions; an international client base does not by itself remove tax obligations. [4]

Plan the operational setup

Work authorisations, banking, premises and regulated activities must be considered separately. Match the company’s setup to the team and commercial activity you intend to build.

Before you decide

Four questions
to prepare.

A useful project review starts with the operating reality of the business.

  1. Who will fulfil the resident-director role and with what responsibilities?
  2. Where will the board make and document strategic decisions?
  3. Will the company hire staff or require specific licences?
  4. What records, bank flows and filing responsibilities must be ready from the first month?

How JBM can help

From the first decision
to the ongoing relationship.

01

Assess the fit.

Clarify your objectives and compare Singapore with the other jurisdictions we cover.

02

Coordinate formation.

Prepare the ownership and activity brief, organise the required documents and coordinate with the relevant local professionals.

03

Prepare for banking.

Identify the payment needs and supporting evidence. Account approval remains with the financial institution.

04

Support the company.

For companies established through JBM, accounting coordination forms part of the ongoing support. Responsibilities and deliverables are agreed together.

Questions we discuss

Clarity before
the next step.

Can a company be incorporated before I relocate?

A relocation and a company registration are separate projects. The company must have a director meeting Singapore’s local residency requirements at registration; assess your own work or residence arrangements separately. [1]

Is a Singapore address sufficient for treaty benefits?

No. Corporate tax residence is based on control and management, and treaty benefits have their own requirements. The actual management arrangements should be reviewed before relying on a particular treatment. [3]
