THE STARTING POINT

Start with where the business will operate and be managed. Then compare governance, banking and the recurring work required to maintain the company. A headline tax rate is not a sufficient decision framework.

Start with the operating model

Before comparing jurisdictions, write a one-page description of the business you intend to run. Identify your customers, the people delivering the work, the country where important decisions will be made, and the currencies in which you expect to receive and spend money.

This makes the comparison specific. A regional team hiring locally needs a different structure from a founder selling services remotely. The question is which location supports your actual operations and their obligations.

Two governance differences to understand

For a Singapore company, ACRA requires at least one locally resident director and the appointment of a company secretary within six months. In Hong Kong, a private company needs at least one natural-person director and a company secretary; directors do not have to be Hong Kong residents. Its registered office must be in Hong Kong. See the official sources below.

These requirements affect who is responsible for decisions and administration. Discuss the duties, authority and availability of every person involved before agreeing to an incorporation package.

Build a comparison that you can actually use

QuestionWhat to put in your comparison
Commercial purposeThe customers, contracts and relationships the entity will serve.
ManagementWho will decide strategy, approve payments and sign contracts, and from where.
BankingRequired currencies, payment corridors, access permissions and supporting evidence.
AdministrationNamed responsibility for accounts, company records and filing deadlines.
Total costSetup, recurring services and the internal time needed to keep everything current.

Ask advisers to respond to the same brief. Comparing one quotation for incorporation alone with another that includes accounting and banking support will conceal the real difference in scope.

Keep banking as a separate decision

Ask for the proposed banking route before selecting a company. Describe your activity accurately and identify any facts that need discussion with the institution. Account approval belongs to the bank and should not be treated as a guaranteed consequence of incorporation.

For your own planning, map how the business would operate while an application is being assessed. Do not commit to a customer payment method until you know the proposed account can support it.

Prepare your written project brief

  • A short description of the business and its principal markets.
  • The owners and their countries of residence.
  • The intended management and operating locations.
  • Expected payment currencies and counterparties.
  • Your hiring, investment or expansion plans.
  • The ongoing support you want after incorporation.

A useful outcome is a reasoned comparison with unresolved questions clearly identified. The incorporation itself should follow that work, not replace it.
