Why consider Hong Kong?

A role in your
wider plans.

Hong Kong can be a practical choice for an owner-led trading or service business that needs an Asian company while its founders remain internationally mobile. Directors do not have to be Hong Kong residents, but the company still needs a local registered office and an eligible company secretary. [1]

Benefits.
And the trade-offs.

Potential benefits

Directors can be based abroad

The absence of a director residency requirement can fit a management team spread across countries. It does not settle where the company is tax resident or where its profits arise. [1]

A defined company framework

A private limited company provides a formal structure for ownership and decision-making, supported by local company records and a company secretary. [1]

A source-based tax analysis

Hong Kong’s territorial approach makes the origin of profits central to the tax assessment. It calls for a review of the actual transactions rather than the address of the customer alone. [2]

Points to consider

Local administration continues

Keep a registered office and company secretary, maintain company information and plan the annual return. Incorporation is the start of those responsibilities. [3]

Foreign income needs a closer look

Specified foreign-sourced income received in Hong Kong by members of multinational groups can fall within the FSIE rules. Applicable exceptions have conditions; overseas income is not automatically exempt. [4]

Banking is a separate assessment

Prepare evidence of the activity, owners, transaction flows and counterparties. The institution decides whether to accept the application. A company certificate alone is not a banking plan.

Before you decide

Four questions
to prepare.

A useful project review starts with the operating reality of the business.

  1. Who owns the company and who will make its key decisions?
  2. What will be bought, sold or delivered, and where will that work happen?
  3. Which currencies and payment corridors need to be supported?
  4. Who will coordinate the registered office, company records and recurring filings?

How JBM can help

From the first decision
to the ongoing relationship.

01

Assess the fit.

Clarify your objectives and compare Hong Kong with the other jurisdictions we cover.

02

Coordinate formation.

Prepare the ownership and activity brief, organise the required documents and coordinate with the relevant local professionals.

03

Prepare for banking.

Identify the payment needs and supporting evidence. Account approval remains with the financial institution.

04

Support the company.

For companies established through JBM, accounting coordination forms part of the ongoing support. Responsibilities and deliverables are agreed together.

Questions we discuss

Clarity before
the next step.

Do I need to live in Hong Kong?

A director does not have to reside in Hong Kong. Local registered-office and company-secretary requirements still apply. Your own residence and the location of management need a separate review. [1]

Does a Hong Kong company mean foreign sales are tax-free?

No automatic conclusion follows from foreign customers or an overseas bank account. The source of profits and any applicable foreign-sourced income rules must be assessed from the facts. [2]
